1. Who we are and what this agreement covers
Sporfy Venue Manager (the Service) is provided by Sporfy Technologies Private Limited (Sporfy, we, us), 976, opp. Global Tech Park (Bosch), Kalapatti, Coimbatore 641048, Tamil Nadu, India. These terms are a contract between Sporfy and the organisation that signs up (you, the Organisation), such as a venue, academy, club, association or campus.
By creating an account, starting a trial, subscribing or using the Service, you agree to these terms, the Privacy Policy, the Billing and Subscription Terms, the Refund and Cancellation Policy, the Acceptable Use Policy and the Data Processing Terms. If you sign up for an organisation, you confirm you have the authority to bind it.
The Service is for businesses and organisations. It is not offered to individuals for personal or household use.
2. The Service
Venue Manager helps an organisation run its sport business: booking of courts, turfs and slots, classes and academies, memberships, campaign and counter sales, a shared WhatsApp and messaging inbox, reports, and a website for the organisation. Products are sold separately (for example Slots, Classes, Sales campaigns, Lifestyle memberships and WhatsApp support), each with its own plans, and some capabilities are shared across them (your own payment gateway, email sender and WhatsApp number, roles and permissions).
What you can use depends on the plan you subscribe to for each product: its features and its capacity (for example the number of spaces, fields, students or members). Plans and their contents are shown on our pricing page.
We improve the Service continually and may add, change or retire features. If we remove a feature that is part of your paid plan in a way that materially reduces what you paid for, we will tell you in advance and you may cancel under the Refund and Cancellation Policy. Features shown as coming soon are not part of any plan until they are released, and we make no promise about when.
3. Accounts and users
You create the Organisation's account, choose who in your team can sign in, and decide their roles and permissions. You are responsible for everything done through your account and by your team, for keeping sign-in details secure, and for removing access when someone leaves.
Give us accurate information and keep it up to date, including a working contact email for billing and service notices. Tell us promptly if you believe an account has been accessed without permission.
People who use the Service for your organisation must be old enough to be bound by a contract where they live and authorised by you. We may rely on instructions given by anyone signed in to your account.
4. Your data and your customers' data
You own your data. That includes everything you or your team put into the Service and everything it holds about your own customers: players, students, parents, members, staff, bookings, attendance, fees, messages, photos, videos, certificates and website content (Your Data). We do not claim ownership of it.
You give us permission to host, process, copy and display Your Data only as needed to provide the Service to you, keep it secure, prevent abuse and meet our legal duties. How we handle personal data inside Your Data is set out in the Data Processing Terms; for personal data about you and your team, see the Privacy Policy.
You are responsible for Your Data: that you have the right to collect and use it, that you give your customers the notices the law requires, and that you have the consent you need before using it to message them (for example on WhatsApp, SMS or email). If your customers are children, you are responsible for getting a parent or guardian's consent where the law requires it.
You can export or delete much of Your Data from within the Service. If you need something we cannot give you through the product, ask us and we will help where the law allows.
5. Payments you take from your customers
Venue Manager lets you collect money from your own customers through your own payment gateway account. Those payments settle to your account. We are not a party to the sale between you and your customers, we do not hold your customers' money, and we are not responsible for payments, refunds, chargebacks or disputes between you and them. You remain responsible for your prices, your refund rules, and the taxes on your sales.
Your use of a payment gateway, email provider, WhatsApp Business account or any other third-party service is also governed by that provider's own terms. You are responsible for keeping those accounts in good standing and for the credentials you connect.
6. Trial, fees and taxes
Every paid plan starts with a free trial of 15 days (see the Free Trial Policy). After that, fees apply as set out in the Billing and Subscription Terms. Prices are shown excluding taxes. You are responsible for applicable taxes such as GST or VAT, which appear on your invoice. Unless a written order form says otherwise, fees are paid in advance for the period you choose and, subject to the Refund and Cancellation Policy, are not refundable.
7. Acceptable use
You must use the Service lawfully and in line with the Acceptable Use Policy. We may remove content or suspend access where use breaks that policy, puts the Service or other customers at risk, or is required by law or an authority.
8. AI features
Some features, such as the Venba website agent and AI-assisted editing, use artificial intelligence to draft or change content and websites from your instructions and your Venue Manager data. To produce a result, the instructions and the data needed for the task are sent to an AI model provider we use.
AI output can be wrong, incomplete or unsuitable. Review anything it produces before you publish it or rely on it. You are responsible for what you publish, including that it does not infringe anyone's rights or mislead your customers. AI features may use credits or be limited by your plan.
9. Our rights and your content
We and our licensors own the Service, including its software, designs, templates, documentation and trademarks. We give you a limited, non-exclusive, non-transferable right to use the Service for your organisation while your subscription or trial is active. You may not copy, resell, reverse engineer or build a competing service from it, except where the law lets you despite this.
Website templates are licensed to you for your own site while your plan includes them. Logos, photos and text you add remain yours.
If you give us feedback or suggestions, we may use them to improve the Service without owing you anything.
10. Availability, support and changes
We work to keep the Service available and secure, and we carry out maintenance from time to time, usually with little or no interruption. We do not promise the Service will be uninterrupted or error free. A specific uptime or support commitment applies only if it is written into an order form for your plan.
Support is provided as described for your plan. Limits on capacity, usage or messaging that are part of your plan are enforced by the Service.
11. Disclaimers
To the extent the law allows, the Service is provided as is and as available, and we do not give any warranty beyond those stated in these terms, including any implied warranty of merchantability, fitness for a particular purpose or non-infringement. We do not warrant that the Service will meet every requirement you have, and we are not responsible for the content, availability or conduct of third-party services you connect.
12. Limits on liability
To the extent the law allows, neither party is liable to the other for indirect, incidental, special or consequential loss, or for loss of profit, revenue, goodwill or data, arising from these terms or the Service, even if told it was possible.
Our total liability to you for all claims arising from these terms or the Service in any twelve-month period is limited to the fees you paid us for the Service in the twelve months before the event that gave rise to the claim.
Nothing in these terms limits liability that cannot be limited by law, such as liability for fraud or wilful misconduct, or for death or personal injury caused by negligence.
13. Your responsibility for claims
You will defend and compensate us against third-party claims, and the reasonable costs of dealing with them, that arise from Your Data, your use of the Service in breach of these terms or the law, or your dealings with your own customers. We will tell you promptly about a claim, let you handle it with our reasonable cooperation, and not settle it without your agreement where that would bind you.
14. Term, suspension and ending the agreement
This agreement starts when you sign up and continues until it is ended as below.
- You can stop at any time. Cancel from your account or by contacting us; cancelling stops renewal, and your access continues to the end of the period you have paid for. See the Refund and Cancellation Policy.
- We may suspend the Service, or part of it, if fees stay unpaid after the grace period described in the Billing and Subscription Terms, if use breaks these terms or the Acceptable Use Policy, if there is a security risk, or if the law requires. Where we reasonably can, we tell you first and give you a chance to fix it.
- We may end the agreement for your serious or repeated breach that is not fixed after notice, or if we stop offering the Service, in which case we will give you reasonable notice and a pro rata refund of any fees paid for the period after it ends.
When the agreement ends, your access to the paid features stops. We keep Your Data for a reasonable period so you can come back or export what you need, then delete or anonymise it, and sooner if you ask us to. We may keep information the law requires us to keep, such as invoices, for as long as it requires. Sections that by their nature should continue (for example on payment, liability and governing law) continue after the agreement ends.
15. Changes to these terms
We may update these terms, for example when we add products or the law changes. For material changes we will tell you by email or in the product before they take effect. If you keep using the Service after that, you accept the update; if you do not agree, you can cancel before it takes effect.
16. Governing law and disputes
These terms are governed by the laws of India. If a dispute arises, please write to us first through the contact details below so we can try to resolve it. If we cannot, the courts at Coimbatore, Tamil Nadu have exclusive jurisdiction, except that either party may seek urgent relief from any competent court to protect its intellectual property or confidential information.
17. General
- These terms, with the policies they refer to and any order form, are the whole agreement about the Service. If an order form conflicts with these terms, the order form prevails for what it covers.
- If a part of these terms cannot be enforced, the rest stays in force. Not enforcing a right right away does not give it up.
- You may not transfer your rights under these terms without our written consent. We may transfer ours to a successor of the business or to an affiliate, and will tell you if we do.
- Neither side is liable for delay or failure caused by events beyond its reasonable control, other than a duty to pay.
- Notices to you go to the contact email on your account or appear in the product. Notices to us go to the address below or through the contact form.
